V1.0 TriFact365 Terms of Use

Effective Date: 1 August 2026


These Terms of Use form part of the Agreement between TriFact365 and the Customer.

1. Definitions

Terms capitalised in these Terms of Use have the meanings set forth in the General Terms and Conditions. Defined terms have the same meaning in both the singular and plural forms.

2. Secure Use

2.1 Login Credentials

Application Users must keep their login credentials confidential and choose secure passwords.

2.2 Authorised Actions

TriFact365 may assume that any action performed using valid login credentials is authorised.

2.3 Responsibility

The Customer is responsible for all actions taken via the Account and must immediately report any misuse or suspected misuse to TriFact365 in writing.

3. Prohibited Use — Content

3.1 Prohibited Content

The Customer shall not use the Software for activities that violate applicable laws and regulations. In any case, it is not permitted to process, store, distribute, or offer, via the Software, any data or content that:

(a) infringes on Intellectual Property Rights or other rights of third parties;

(b) contains malicious content, such as malware, viruses, Trojans, spyware, or ransomware;

(c) contains tools or instructions for computer crime, such as hacking tools, exploit code, or manuals for unlawfully accessing systems;

(d) is defamatory, libellous, offensive, discriminatory, or hateful;

(e) is unlawful with respect to third parties, including the unlawful Processing of Personal Data or invasion of privacy;

(f) contains terrorist content as defined in applicable EU and national laws and regulations;

(g) contains child sexual abuse material, sexually explicit material involving minors, or bestiality pornography, as well as animations or digitally generated versions thereof;

(h) contains links, torrents, or other references to material as referred to in subparagraphs (a) to (g).

4. Prohibited Use — Software

4.1 Prohibited Acts

The Customer is also prohibited from using the Software in any manner that:

(a) is harmful to the operation of the Software, the underlying infrastructure, or other Application Users;

(b) involves the resale, rental, or white-labelling of the Software;

(c) involves unauthorised automated access, including scraping, crawling, or spidering;

(d) is intended to circumvent the security, access controls, or usage limits of the Software;

(e) involves reverse engineering, decompilation, disassembly, or otherwise determining the source code or underlying structure of the Software, except to the extent permitted by mandatory law.

5. Resale

5.1 Definition of Resale

Resale within the meaning of Article 4.1(b) does not include the use of the Software as part of the Customer's regular services provided to third parties, including the Customer's clients, principals, or end customers. The Customer remains fully responsible to TriFact365 for the use of the Software and for the Customer Data relating to these third parties, as well as for compliance with the Agreement.

6. Fair Use

6.1 Reasonable Volume of Use

Use of the Software is, in principle, unlimited and is billed in accordance with Article 6 of the General Terms and Conditions. For aspects that are not billed per use—such as data traffic, storage, and the number of requests via integrations or APIs—a reasonable usage volume appropriate for comparable business purposes applies.

6.2 Measures

If, in TriFact365's opinion, the use does not comply with the fair use principle, TriFact365 will consult with the Customer. If this does not lead to a solution, TriFact365 may take appropriate measures in accordance with Article 7 of the General Terms and Conditions.

7. Enforcement

7.1 Enforcement

If TriFact365 identifies an (alleged) violation of Article 3 or 4 of these Terms of Use, or a threat to technical operation or security, TriFact365 will request that the Customer make immediate corrections. In the event of failure to comply or in the case of serious violations—including, in any event, those under Article 3.1(f) and (g)—TriFact365 may take appropriate measures in accordance with Article 7 of the General Terms and Conditions, remove the relevant content, and, where required by law, report the matter to the competent authorities. TriFact365 will inform the Customer of this action afterwards.
